These Terms of Use govern your interactions as a User with the Pago-Facil Website and the Pago-Facil mobile application (the “Pago-Facil App”). For specific functionalities, additional conditions may apply, which will be communicated as necessary. All agreements and documents pertaining to your interactions with Pago-Facil will be collectively referred to as the “Contractual Relationship.” This encompasses access to, downloading of, and utilization of the Pago-Facil Website and the Pago-Facil App.
Furthermore, when you engage with services through the Pago-Facil Website or Pago-Facil App, the respective terms and conditions of those service providers will also be applicable, as detailed below.

Eligibility and Agreement

These Terms apply to your use of Pago-Facil Services. If you choose not to enter into an agreement with Pago-Facil (Stratford Solutions), you are not obligated to comply with these Terms, and as a result, you will not be eligible to use Pago-Facil Services. Pago-Facil (Stratford Solutions) provides services as a cryptocurrency exchange and custodian of digital wallets, ensuring a secure and regulated environment for your crypto transactions and holdings in Spain.

Services Associated With Your Account

Pago-Facil (Stratford Solutions), as a cryptocurrency exchange and custodian, offers a range of services associated with your account. These services are provided in collaboration with our Payment Service Provider, under the conditions set by them. The following services are included:
Pago-Facil (Stratford Solutions) also provides additional functionalities to enhance the services associated with your account. Our platform ensures a secure and efficient environment for all your cryptocurrency and electronic money transactions, in compliance with relevant regulations and best practices in the industry.
Fees Applicable to the Services Associated With Your Account
For the provision of Services Associated With Your Account, Pago-Facil (Stratford Solutions) and our Payment Service Provider are entitled to charge fees. The specific details and percentages of these fees can be found at any time through the following link:
Please note that the fees listed are for informational purposes only and are current as of the date of the last update on the Pago-Facil Website. These fees are subject to change at any time. Updated fees will be published and made available in the “Fees” section of the Pago-Facil Website. We recommend checking this section regularly to stay informed about the applicable rates.
Pago-Facil (Stratford Solutions) is committed to transparency in our fee structure and ensuring that our users are fully aware of any costs associated with their account services. If you have any questions regarding the fees, please contact our support team for further assistance.

Cryptocurrency Transactions

Pago-Facil (Stratford Solutions) cannot and does not guarantee the value of any Cryptocurrency. You acknowledge and agree that the value of Cryptocurrency is highly volatile and that buying, selling, and holding Cryptocurrency involves significant risk. The verification and confirmation of proposed transactions submitted via the Pago-Facil Services are handled either by decentralized Cryptocurrency consensus networks or our managed pools.
For transactions processed via decentralized networks, Pago-Facil (Stratford Solutions) cannot confirm, cancel, or reverse these transactions once they are submitted. The decentralized nature of these networks means that once a transaction request is initiated, it will be automatically completed or rejected by the network, and you will not be able to cancel or modify the transaction while it is in progress.
For transactions processed via our managed pools, Pago-Facil (Stratford Solutions) can only cancel the part of the transaction that has not yet been executed. Due to the operational specifics of blockchain technology, once a portion of the transaction is executed, it cannot be reversed or canceled.
You will, however, have the ability to cancel any unexecuted portions of the transaction.
You acknowledge and agree that Pago-Facil (Stratford Solutions) is not responsible for any errors or omissions you may make in connection with any Cryptocurrency transaction initiated via our Services. Our platform assists you in submitting your transaction request for confirmation to the appropriate network or pool.
Pago-Facil (Stratford Solutions) has no control over decentralized networks and cannot ensure that any transaction request you submit will be completed. Transactions may not be completed or may be substantially delayed due to network conditions. When you complete a transaction request via our Services, you authorize Pago-Facil (Stratford Solutions) to submit your transaction request to the relevant Cryptocurrency network or managed pool according to the instructions you provide.

Refunds

Due to the specific nature of the products and services provided by Pago-
Facil (Stratford Solutions), all transactions made on the Pago-Facil Website or
Pago-Facil App are final and nonrefundable.

Principles of Clarity and Understandability

To facilitate maximum understanding by the general public: • A question and answer format (“FAQ”) will be used when useful to clarify the process. • Graphic diagrams or charts illustrating the steps of the complaints procedure, timelines, and possible resolution options will be presented. • Complex cross-references or references to legal documents that are difficult for non-expert users to interpret will be avoided.

For customers with special needs (e.g., visual impairment), the website will comply with web accessibility standards (WCAG 2.1), ensuring that the information is fully accessible using assistive technologies.

Updating Public Information

The Regulatory Compliance Function will ensure that all information related to the complaints procedure is: • Reviewed periodically, at least once a year. • Updated immediately in the event of any relevant changes to the procedure, timelines, available channels, or regulatory conditions. • Historically traceable, keeping records of previously published versions for a minimum of five years. Any updates will also be reflected in the contractual and pre-contractual documentation provided to clients.

Technology Incident Management (DORA)

In compliance with the DORA Regulation, STRATFORD SOLUTIONS has integrated specific protocols to ensure operational resilience against technological incidents that may affect clients.

Impact of Technology Incidents on Complaints

Operational disruptions (e.g., platform outages, blockchain transaction failures) can generate complaints. To this end: • Integrated protocol: Any complaint arising from a technological incident will automatically trigger DORA procedures (e.g., CSIRT notification, root cause analysis). • Proactive communication: Affected clients will receive updates on the incident and its impact on complaints, in line with DORA timeframes (72 hours for critical notification).

Internal Coordination

The Customer Service Department will collaborate with the Cybersecurity Department to: • Prioritize complaints related to technological incidents. • Ensure that resolutions include compensation for technical failures (e.g., refunds, balance corrections).

Registration and Access

To utilize Pago-Facil Services, you must go through the registration process to create an electronic money account (the “Account”) and deposit a minimum required amount of funds as specified on the Pago-Facil App and Pago-Facil Website. It is essential to thoroughly read and understand the Terms and Conditions provided by the Payment Service Provider before setting up your Account.
During the registration process, you will need to provide the following personal information: full name, date and place of birth, gender, email address, phone number, residential address, nationality, and identification details (such as Passport, DNI, or NIE number, including photographs and expiry date), as well as your profession. This information is necessary for identity verification and compliance with regulatory requirements. It will be used in accordance with our Privacy Policy and shared with third-party service providers as needed to facilitate the services offered through the Pago-Facil Website and Pago-Facil App.

Wallet Address and Private Key

Upon creating an Account, our Services will generate and securely store a pair of cryptographic keys – a private key and a public key. The public key will act as your Cryptocurrency wallet address, which you can share with others in the Cryptocurrency network to receive funds. The private key is crucial for authorizing transactions from your wallet.
Your private key is uniquely associated with your wallet address and must be kept secure. Any transaction initiated from your wallet requires the use of your private key to authorize the transfer of Cryptocurrency. Pago-Facil (Stratford Solutions) emphasizes the importance of safeguarding your private key; if it is lost or compromised, it could lead to unauthorized access to your funds, and we cannot reverse or rectify such incidents. We recommend implementing robust security measures and best practices to protect your private key and ensure the safety of your digital assets.

Custody of Cryptocurrency

Pago-Facil (Stratford Solutions) serves as the custodian for any Cryptocurrency transferred to Pago-Facil Accounts. As the custodian, Pago- Facil (Stratford Solutions) holds and secures your Cryptocurrency on your behalf, but does not gain any legal or beneficial ownership rights over your stored assets. All rights, titles, and interests in your Cryptocurrency remain solely with you.
While Pago-Facil (Stratford Solutions) takes extensive measures to protect your assets, you acknowledge and accept the inherent risks associated with digital asset custody, including but not limited to hacking, unauthorized access, and system failures. Pago-Facil (Stratford Solutions) employs different measures to mitigate these risks. However, the possibility of losses due to unforeseen technical issues or malicious attacks cannot be entirely eliminated.
To utilize Pago-Facil Services fully, your identity must be verified according to our Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures. Until your identity verification is successfully completed, your ability to use Pago-Facil Services may be restricted. This includes limitations on transactions, withdrawals, and access to certain features. Identity verification is a critical step in ensuring the security and regulatory compliance of our platform.
You are responsible for providing accurate and truthful information during the verification process. Failure to do so may result in delays, restrictions, or termination of your account. By using Pago-Facil Services, you agree to comply with all verification procedures and cooperate fully to ensure the integrity and security of your account and the Pago-Facil platform.
Pago-Facil (Stratford Solutions) is committed to protecting your assets and providing a secure environment for your cryptocurrency transactions. However, it is essential to understand the risks involved and take personal measures to secure your account information, such as using strong passwords, enabling two-factor authentication, and regularly monitoring your account activity.

Ownership of Intellectual Property Rights

Pago-Facil (Stratford Solutions) retains all rights, titles, and interests in and to our Services and all content provided through our Services. This includes all copyrights, trademarks, patents, trade secrets, and other intellectual property rights associated with our trademarks, service marks, designs, logos, URLs, and trade names displayed on our Service (collectively referred to as the “Pago-Facil Materials”).
We grant you a limited, non-exclusive, non-transferable, and non-sub licensable license to access and use the Pago-Facil Materials solely for your personal or internal business purposes. This license is conditioned upon your compliance with these Terms and does not permit any resale, distribution, public performance or public display, modification, or derivative use of the Pago-Facil Materials or any portion thereof beyond the intended purposes. Any unauthorized use of the Pago-Facil Materials is strictly prohibited.
The license granted under this section will automatically terminate if your access to the Services is suspended or terminated. Upon termination, you must cease all use of the Pago-Facil Materials and comply with any further instructions regarding the discontinuation of use.
Additionally, we will own all exclusive rights, including intellectual property rights, to any feedback, suggestions, ideas, or other information or materials you provide to Pago-Facil (Stratford Solutions) regarding our Services (collectively referred to as “Feedback”). By submitting Feedback, you acknowledge that it is non-confidential and becomes the sole property of Pago-Facil (Stratford Solutions). We are entitled to the unrestricted use and dissemination of such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
You are not permitted to use, copy, or retransmit anything from our website without our express written permission. We reserve all rights not expressly granted to you in these Terms.
To protect our intellectual property and maintain the integrity of our Services, Pago-Facil (Stratford Solutions) may take legal action against anyunauthorized use or infringement. We also reserve the right to update, modify, or remove any Pago-Facil Materials at our discretion without prior notice.

Authorized Uses of Our Services

You are permitted to use Pago-Facil Services only as authorized by us. You are responsible for ensuring that all personal information in your account profile is accurate and up-to-date, including your email address and mobile phone number. It is also your responsibility to maintain the security, control, and confidentiality of your account information, such as personal identification numbers (PINs), passwords, API keys, and any other codes associated with your account.
Failure to secure this information may lead to unauthorized access to your account, potentially resulting in the loss or theft of any Cryptocurrency held within your account. If you suspect that your account has been compromised, you must report the incident to our security team immediately. Please contact us at security@pago-facil.com and provide a detailed description of the issue, including the date, type of problem, and the specific part of the Pago-Facil Website or Services affected.

You are also responsible for:

  1. Immediately notifying us of any unauthorized use of your password or account, or any other breach of security.
  2. Ensuring that you log out from your account at the end of each session when accessing Pago-Facil Services.
  3. We are not responsible for any loss you may incur as a result of failing to comply with the instructions outlined in this section or ignoring any notices or alerts that we may send to you.

To ensure the secure and proper use of Pago-Facil Services, adhere to the following guidelines:

  • Regularly update your account information to reflect any changes.
  • Use strong and unique passwords for your account.
  • Enable two-factor authentication (2FA) for an added layer of security.
  • Be cautious of phishing attempts and ensure that you are accessing the official Pago-Facil Website and App.

Accurate Information; Registration Requirements

Pago-Facil (Stratford Solutions) reserves the right, at its sole discretion, to decline opening accounts or to temporarily or permanently suspend accounts, particularly when required or recommended by governmental, regulatory, or law enforcement authorities. Pago-Facil Services are exclusively for use by registered account holders. You agree that the information you provide during account creation and any subsequent identity verification processes is accurate and complete, and you will update it as necessary. Users under the age of 18 are not authorized to use Pago-Facil Services.

Duties and Liability as a User

Pago-Facil (Stratford Solutions) cannot control your use of the Pago-Facil App and Pago-Facil Website. As a user, you warrant and take full responsibility for ensuring that:

  • Your use of the Pago-Facil App or Pago-Facil Website is strictly within your personal scope. Commercial use is prohibited unless you have a business account with us.
  • Your use of the Pago-Facil App or Pago-Facil Website complies with the law, the contractual relationship, morality, and public order, and respects the rights and interests of third parties. You must not use the Pago-Facil App or Pago-Facil Website to infringe upon the law or third-party rights, including intellectual property rights, privacy rights, and data protection rights.
  • You exercise due diligence and take necessary precautions to avoid causing any damage or risk of damage to Pago-Facil (Stratford Solutions), other users, or any third parties.
  • You provide accurate information to Pago-Facil (Stratford Solutions) at all times.
  • You obtain all necessary rights, consents, or titles to any third-party information you provide to Pago-Facil (Stratford Solutions).
  • You are responsible for all transactions made with your card or account.
  • Any use of the Pago-Facil App or Pago-Facil Website accessed with your username and password is your responsibility.
If you send, upload, or publish information or content of any kind on the Pago-Facil App or Pago-Facil Website, you declare, guarantee, and accept that you have the right to do so freely. You also confirm that such information does not infringe any intellectual or industrial property rights, trade secrets, or any other rights of third parties, and that the information is not confidential or harmful to third parties.

Prohibited Activities

You agree not to use Pago-Facil Services to engage in any illegal activities or actions that negatively impact the performance of Pago-Facil Services. The following activities are strictly prohibited, and you must not engage in or assist any third party in engaging in any of these activities via our Services:
Attempting to gain unauthorized access to our Services or another user’s account.
Attempting to bypass or circumvent any security features of the Services.
Violating any law, statute, ordinance, or regulation.
Reproducing, duplicating, copying, selling, or reselling our Services for any purpose other than as authorized by these Terms.
Engaging in any activity that is abusive, interferes with, or disrupts our Services.
Implementing measures to circumvent any blocks placed on your access to Pago-Facil Services, such as masking your IP address or using a proxy IP address.
Using our Services in connection with any transaction involving illegal products or services is strictly prohibited. Pago-Facil (Stratford Solutions) reserves the right to temporarily or permanently suspend your account or otherwise restrict your use of Pago-Facil Services if you violate this section.

No Advice

Pago-Facil (Stratford Solutions) does not provide advisory services, including financial, legal, investment, insurance, or tax advice. Any information provided by Pago-Facil (Stratford Solutions) is for general informational purposes only and should not be considered professional advice. You are solely responsible for determining whether any contemplated transaction is appropriate for your specific situation.
Indemnification and Limitation of Liability; Attorney’s Fees and Costs for Lawsuits
You agree to indemnify and hold Pago-Facil (Stratford Solutions) and its affiliates harmless from any losses, damages, suits, and expenses of any kind, including reasonable attorneys’ fees, incurred in connection with or arising out of your use of your Account, your violation of any law, regulation, order, or other legal mandate, the rights of a third party, or any act or omission by your agent, representative, or third-party service provider while using your Crypto Interest Account. This includes compliance with applicable laws, such as Spain’s federal and state economic sanctions laws and regulations, as well as those issued by any government agencies in the United Kingdom and Europe.
We are not liable to you for any claims, costs, losses, or damages caused by events beyond our reasonable control (e.g., acts or omissions of third parties, natural disasters, emergency conditions, government action, equipment or communications malfunctions). We are not liable for special, incidental, exemplary, punitive, or consequential losses or damages of any kind. Any obligations or liabilities incurred by Pago-Facil (Stratford Solutions) may be satisfied solely from the assets of Pago-Facil (Stratford Solutions), S.L. You will have no recourse against any member, affiliate, investor, employee, officer, agent, or advisor of Pago-Facil (Stratford Solutions), S.L. for obligations or liabilities, except for any setoff permitted by applicable law and Section 13 below.
We reserve the right to limit access to your accounts, which may include temporarily or permanently removing your online access, restricting your account, and/or closing your accounts without prior notice unless required by law. Pago-Facil (Stratford Solutions) is not liable for such actions. Additionally, Pago-Facil (Stratford Solutions) reserves the right to withhold or delay the withdrawal of funds or assets if you fail to comply with these Terms.
Our liability to you for any claim is limited to the face value of the item or transaction or the actual value of any funds not properly credited or debited.

Conflict/Disputes Involving Your Account

Pago-Facil (Stratford Solutions) will not be liable for any errors that do not result in a financial loss to you. We reserve the right to take any action authorized or permitted by these Terms without being liable to you, even if such actions cause you to incur fees, expenses, or damages.
In the event of third-party claims against your account, conflicting instructions from authorized signers, or disputes involving you and an authorized signer, Pago-Facil (Stratford Solutions) has the discretion to take appropriate actions. These actions may include but are not limited to:
Closing your account and returning any cryptocurrency held within it.
Interpleading funds to a court for resolution.
You are responsible for all expenses and fees incurred by Pago-Facil (Stratford Solutions) in relation to such conflicts or disputes. This includes internal costs and attorneys’ fees, which may be charged to your account.

Relationship with Service Providers

Your relationship with the Payment Service Provider or the Credit Provider is direct and exclusive between you and them. Pago-Facil (Stratford Solutions) merely provides the Pago-Facil App and Pago-Facil Website as a platform for viewing and contracting these services. You are expected to exercise due diligence and judgment when engaging with these providers. Pago-Facil (Stratford Solutions) does not verify the regularity or quality of the services provided by these third parties.
By accepting these Terms, you explicitly agree that any legal remedies or liability you seek for acts or omissions of the Payment Service Provider or the Credit Provider will be directed exclusively against them, and not against Pago-Facil (Stratford Solutions).

Reporting Irregularities

While Pago-Facil (Stratford Solutions) is not responsible for the services provided by the Payment Service Provider or the Credit Provider, you should report any irregularities or infringements that could affect other Pago-Facil users. Reports should be sent to us at info@pago-facil.com, under your responsibility. Your diligence in reporting helps maintain the integrity and reliability of the Pago-Facil platform.

Legal Process Affecting Accounts

If your account becomes subject to legal action such as an attachment, garnishment, levy, or any other state or federal legal process (“legal process”), Pago-Facil (Stratford Solutions) may refuse to permit (or may limit) withdrawals or transfers from your account until the legal process is resolved or dismissed. Regardless of the nature of such legal actions, Pago-Facil (Stratford Solutions) maintains the first claim to any and all funds in your account.
We will not contest any legal process on your behalf and may comply with such legal actions as deemed appropriate without incurring liability to you. In the event that we incur expenses, including reasonable attorney fees, in connection with any legal process, we reserve the right to charge these expenses and fees to your account or any other account you have with us without prior notice, or we may bill you directly.
Additionally, any garnishment or levy against your account is subject to our right of setoff and security interest. This means we may use the funds in your account to cover any debts or obligations you owe to Pago-Facil (Stratford Solutions) before honoring the legal process.

Compliance and Communication

To ensure compliance with applicable laws and regulations, Pago-Facil (Stratford Solutions) may take the following actions without prior notice:
– Restrict access to your account.
– Freeze or place holds on your account balances.
– Notify relevant authorities as required by law.

User Responsibility and Cooperation

As a user, you are responsible for cooperating with Pago-Facil (Stratford Solutions) and providing any information or documentation necessary to address the legal process. Failure to comply may result in further restrictions or actions taken on your account.

Notification of Legal Process

While Pago-Facil (Stratford Solutions) will make reasonable efforts to notify you of any legal process affecting your account, we are not obligated to do so if prohibited by law or the terms of the legal action itself. It is your responsibility to regularly monitor your account and respond promptly to any notifications or requests from Pago-Facil (Stratford Solutions) regarding legal matters.
By maintaining an account with Pago-Facil (Stratford Solutions), you acknowledge and agree to these terms, understanding the potential impact of legal processes on your account and the associated responsibilities and limitations.

Assignment; Entire Agreement

Pago-Facil (Stratford Solutions) reserves the right to assign these Terms to its parent company, affiliates, subsidiaries, or in connection with any merger, consolidation, sale, or other disposition of all or substantially all its assets. This means that your agreement with Pago-Facil (Stratford Solutions) could be transferred to another entity without prior notice. These Terms constitute the entire and exclusive agreement between you and Pago-Facil (Stratford Solutions) regarding your use of the Services, superseding and replacing any prior or contemporaneous written or oral contracts, warranties, representations, or understandings related to this subject matter.

Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) Policy

Money laundering involves concealing the origins of illegally obtained money to make it appear legitimate. Despite being currently unregulated and outside the scope of mandatory AML obligations, Pago-Facil (Stratford Solutions)’s senior management has proactively implemented comprehensive systems and procedures that comply with AML legislation. This proactive approach demonstrates our commitment to preventing money laundering and ensuring that our platform is not exploited for illicit activities.
We have established rigorous internal controls, including customer due diligence, ongoing monitoring of transactions, and reporting suspicious activities. By doing so, we aim to protect our users and uphold the integrity of our services.

Change of Address

It is your responsibility to promptly notify Pago-Facil (Stratford Solutions) of any changes to your residential mailing address or email address. Failure to update your contact information may result in delays or failure to receive important communications from us. Accurate contact information ensures that you remain informed about your account and any relevant updates to our services.

Recording and Monitoring Telephone Calls and Electronic Communications

Upon closure, we will return any remaining crypto assets in your account, including accrued interest up to the closure date, minus any applicable penalties or fees, unless prohibited by law.

Liability for Unauthorized Transfers from Your Account
Notify us immediately if you believe that an electronic transfer has been made without your permission or if your statement shows transfers that you did not make. Promptly contact us at info@pago-facil.com. You accept all risks of unauthorized access and use of your Crypto Interest Account.

Online Platform

If we do not complete a transfer to or from your account(s) on time or in the correct amount according to our agreement with you, we will be liable for your actual losses or damages. However, exceptions include:

Legal Venue and Jurisdiction
In accordance with Spanish law, specifically regarding consumer protection, consumers cannot be forced to submit to a specific jurisdiction that is not their place of residence. Therefore, the following clause applies to all users of Pago-Facil (Stratford Solutions) Services:
